Welcome to the EstateSales.org website, which is located at EstateSales.org (the "Website"). This Terms of Service ("TOS") contain the terms and conditions that govern your use of the Website and the EstateSales.org Service (as defined below). This TOS describes your rights and responsibilities and what you can expect from the EstateSales.org Service. Use of the EstateSales.org Website constitutes your acceptance of and agreement to this TOS.
EstateSales.org reserves the right to add, delete and/or modify any of the terms and conditions contained in this TOS, at any time and in its sole discretion, by posting a change notice or a new agreement on the EstateSales.org Website. In the event of substantive changes to this TOS, you may be notified by email. If any modification is unacceptable to you, your only recourse is to not use the Website and the EstateSales.org Service. Your continued use of the EstateSales.org Website following posting of a change notice or new TOS on the EstateSales.org Website will constitute binding acceptance of the changes.
1. The Site is a Venue and We are Not a Party to any Estate Sale or Auction.
We urge all users to be responsible about their use of the Website and any transaction entered into as a result attending an estate sale or auction or conducting an estate sale or auction (the "Event"). We do not own or manage an estate liquidation or auction business, nor can we contract for, any estate sale or auction company listed on the Site. Instead, the Site acts as a venue to allow estate liquidators and auctioneers who advertise on our Site (each, a "member") to advertise Events to those seeking to attend estate sales or auctions (each, a "customer" and, collectively with a member, the "users") or those seeking services of a liquidator or auctioneer. We are not involved in any transaction between customers and members, we do not endorse or recommend any of the estate liquidators listed on this site, and cannot be held responsible or liable in any way for your dealings with them. As a result, any part of an actual or potential transaction between a customer and a member, including the quality, safety or legality of the sales advertised, the truth or accuracy of the listings (including the times, dates, address and content thereof), the ability of members to advertise Events or the ability of customers to attend Events are solely the responsibility of each user.
2. The EstateSales.org Service.
EstateSales.org provides a number of Internet-based services through the Website (all such services, collectively, the "EstateSales.org Service"). One such service enables users to post information regarding to sales, including without limitation, addresses, photos, descriptions and merchandise (collectively, "Products"). EstateSales.org allows all users to browse the Website and use the information provided to find the locations of posted sales. EstateSales.org may offer a number of other services on its Website, including without limitation, message boards, contests, and newsletters, which may change from time to time.
3. Use of the Web Site and EstateSales.org Service.
3.1 Eligibility. EstateSales.org will only knowingly provide the EstateSales.org Service to parties that can lawfully enter into and form contracts under applicable law. If you are under the age of 18, but at least 13 years of age, you may use the EstateSales.org Service only under the supervision of a parent or legal guardian who agrees to be bound by this TOS. The EstateSales.org Service is not intended for children under the age of 13.
3.2 Compliance with TOS and Applicable Law. You must comply with all of the terms and conditions of this TOS, the applicable agreements and policies referred to below, and all applicable laws, regulations and rules when you use the EstateSales.org Service and the Website.
3.3 Intellectual Property and License.
- Ownership. EstateSales.org solely and exclusively owns all intellectual property and other rights, title and interest in and to the EstateSales.org Service and Website, including but not limited to: (i) the compilation, collection, selection, arrangement, and assembly of all content on the Website; (ii) all text, graphics, photos, images, logos, icons, software, and other content; (iii) all patents, copyrights, trademarks, trade secrets, and other proprietary rights therein; and (iv) the overall "look and feel" of the Website. User-submitted content remains the property of the respective users but is licensed to EstateSales.org as described in Section 6. You will not acquire any right, title or interest therein under this TOS or otherwise to any intellectual property owned by EstateSales.org.
- Limited License. EstateSales.org grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website and the EstateSales.org Service for personal, non-commercial purposes only (except for members with a valid subscription using the Service for its intended business purposes), subject to your compliance with this TOS. This license expressly excludes and prohibits: (i) any collection, aggregation, copying, scraping, duplication, display, or derivative use of the Website or any content; (ii) any use of data mining, robots, spiders, or similar data gathering or extraction tools; (iii) any downloading, caching (other than standard browser page caching), or storing of any content except for personal, non-commercial use; (iv) any commercial use, sale, resale, or exploitation of the Website or content; and (v) any use that competes with or is detrimental to EstateSales.org.
- Revocation. If you use the Website in a manner that exceeds the scope of this license, breaches this TOS, or is otherwise objectionable in EstateSales.org's sole discretion, EstateSales.org may immediately revoke the license granted to you, terminate your access to the Website, and pursue any and all available legal remedies.
3.4 Third-Party Services. EstateSales.org may use third parties to provide certain services accessible through the Website. EstateSales.org does not control those third parties or their services, and you agree that EstateSales.org will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You must comply with such terms and policies as well as this TOS when you use those services. If any such terms or policies conflict with EstateSales.org's TOS, agreements or policies, you must comply with EstateSales.org's TOS, agreements or policies, as applicable.
4. General Rules.
4.1 Prohibited Use. You may only use the EstateSales.org Service as expressly permitted by EstateSales.org. You may not cause harm to the Website or the EstateSales.org Service. Specifically, but not by way of limitation, you may not:
- Any commercial use (other than by members with a valid subscription) of the Site or any content on the Site;
- interfere with the EstateSales.org Service by using viruses or any other programs or technology designed to disrupt or damage any software or hardware;
- modify, create derivative works from, reverse engineer, decompile or disassemble any technology used to provide the EstateSales.org Service;
- copy, collect, scrape, harvest, or download any content from EstateSales.org via robots, spiders, scripts, scrapers, crawlers, or any automated or manual equivalent (e.g., by hand), except that a limited exception is made for the operation of public search engines;
- use or provide any software, tool, or service (except general purpose web browsers and email clients) that interacts or interoperates with EstateSales.org, including but not limited to software for downloading, uploading, scraping, aggregating, displaying, or otherwise accessing content or data;
- collect, harvest, or store any user information, including but not limited to email addresses, phone numbers, names, addresses, or any other personal or contact information;
- aggregate, copy, duplicate, display, or distribute any content from EstateSales.org, including but not limited to sale listings, photos, descriptions, company information, addresses, dates, or any other data, without express written permission from EstateSales.org;
- use any EstateSales.org content or data for any commercial purpose, including but not limited to lead generation, marketing, advertising, or operating a competing service;
- access, monitor, or copy any content or data from EstateSales.org using any automated means, including but not limited to API access (unless expressly authorized), browser automation tools, or any technology that sends requests to our servers;
- access more than 1,000 pages of EstateSales.org within any 24-hour period, whether through automated means or otherwise;
- circumvent, disable, or otherwise interfere with any security, rate-limiting, access control, or content protection features of EstateSales.org;
- impersonate another person or entity;
- use any meta tags, search terms, key terms, or the like that contain EstateSales.org's name or trademarks;
- engage in any activity that interferes with another user's ability to use or enjoy the EstateSales.org Service;
- monitor the Website's functionality, availability, or performance for any competitive purpose;
- assist, encourage, or enable any third party in engaging in any activity prohibited by this TOS;
- post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, indecent, inflammatory, sexually explicit, pornographic or profane material;
4.2 Liquidated Damages. You agree that the following amounts represent a reasonable estimate of EstateSales.org's damages for the specified violations, which are otherwise difficult to calculate:
- Automated access/scraping: $0.25 per page accessed via any automated means, or per page accessed in excess of 1,000 pages in any 24-hour period;
- Content aggregation: $3,000 per day for each day that you aggregate, display, copy, duplicate, reproduce, or distribute any EstateSales.org content without express written permission;
- User information harvesting: $1.00 per item of user information collected, harvested, or stored in violation of this TOS;
- Circumvention: $4.00 per violation for any attempt to circumvent security measures, rate limiting, access controls, or content protection features;
- Competitive use: $10,000 per day for using EstateSales.org content or data to operate or support a competing service.
You agree to pay such liquidated damages upon demand by EstateSales.org. These liquidated damages provisions are not a penalty, but rather an attempt by the parties to reasonably estimate damages that would occur from the specified violations. You acknowledge that the actual damages from such violations would be difficult to ascertain and that the liquidated damages set forth above are a reasonable estimate. EstateSales.org reserves the right to seek actual damages when they exceed the liquidated damages specified above, as well as injunctive relief, attorneys' fees, and any other remedies available at law or in equity.
4.3 Privacy Policy. By entering into this TOS, you agree to EstateSales.org's collection, use and disclosure of your personal information in accordance with the Privacy Policy.
4.4 SMS/Text Messaging. By opting in to receive SMS text messages from EstateSales.org, you consent to receive recurring automated text messages related to the services you have requested, including but not limited to lead notifications for estate sale companies. Message frequency varies based on your service area lead volume. Message and data rates may apply. You may opt-out at any time by replying STOP to any message or by disabling SMS notifications in your account settings. For help, reply HELP or contact support@estatesales.org. Your consent to receive text messages is not required as a condition of purchasing any goods or services. Carriers are not liable for delayed or undelivered messages. By opting in, you confirm that you are the owner or authorized user of the mobile device and that you are authorized to approve the applicable charges.
5. Reservation of Rights.
5.1 Monitoring. EstateSales.org reserves the right, but does not assume the obligation, to monitor transactions and communications that occur through the Website. If EstateSales.org determines, in its sole and absolute discretion, that you or another EstateSales.org user will breach a term or condition of this TOS or that such transaction or communication is inappropriate, EstateSales.org may cancel such transaction or take any other action to restrict access to or the availability of any material that may be considered objectionable, without any liability to you or any third party.
5.2 Modification of the Service. EstateSales.org reserves the right to modify the organization, structure or "look and feel" of the EstateSales.org Service or the Website, and may change, suspend, or discontinue any aspect of the EstateSales.org Service at any time without any liability to you or any third party. EstateSales.org shall have complete discretion over the features, functions, prices and other terms and conditions on which the EstateSales.org Service is offered to EstateSales.org users.
6. Submissions.
When you submit questions, comments, photos, files, suggestions, ideas, message board postings, material submitted via web forms, contest entries, communications or any other information ("Submissions"), you grant EstateSales.org permission to use such Submissions for marketing and other promotional purposes, including the right to sublicense. You agree that EstateSales.org will have no obligation to keep any Submissions confidential. You will not bring a claim against EstateSales.org based on "moral rights" or the likes arising from EstateSales.org's use of a Submission.
7. Representations and Warranties.
7.1 Mutual Representations and Warranties. You represent and warrant to EstateSales.org and EstateSales.org represents and warrants to you: (i) that you or it has the full power and authority to enter into and perform under this TOS, (ii) the execution and performance of your or its obligations under this TOS does not constitute a breach of or conflict with any other agreement or arrangement by which you or it is bound, and (iii) this TOS is a legal, valid and binding obligation of the party entering into this TOS, enforceable in accordance with its terms and conditions.
7.2 By You. You represent and warrant to EstateSales.org that, in your use of the EstateSales.org Service, you: (i) will not infringe the copyright, trademark, patent, trade secret, right of privacy, right of publicity or other legal right of any third party, and (ii) will comply with all applicable laws, rules, and regulations. You further represent and warrant to EstateSales.org that: (i) there are no claims, demands or any form of litigation pending, or to the best of your knowledge, threatened with respect to any of your Content; (ii) EstateSales.org will not be required to make any payments to any third party in connection with its use of your Content, except for the expenses that EstateSales.org incurs in providing the EstateSales.org Service; (iii) the use of any instructions, formulae, recommendations, or the like contained in your Content will not cause injury to any third party; and (iv) your Content does not contain viruses or any other programs or technology designed to disrupt or damage any software or hardware.
8. Disclaimers and Exclusions.
DISCLAIMER OF WARRANTIES. ESTATESALES.ORG PROVIDES THE WEBSITE AND ESTATESALES.ORG SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. ESTATESALES.ORG DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE, ESTATESALES.ORG SERVICE OR ITS USE: (i) WILL BE UNINTERRUPTED, (ii) WILL BE FREE OF INACCURACIES OR ERRORS, (iii) WILL MEET YOUR REQUIREMENTS, OR (iv) WILL OPERATE IN THE CONFIGURATION OR WITH THE HARDWARE OR SOFTWARE YOU USE. ESTATESALES.ORG MAKES NO WARRANTIES OTHER THAN THOSE MADE EXPRESSLY IN THESE TOS, AND HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT.
9. Limitation of Liability.
LIMITATION OF LIABILITY. ESTATESALES.ORG WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES (INCLUDING DAMAGES RELATING TO LOST PROFITS, LOST DATA OR LOSS OF GOODWILL) ARISING OUT OF, RELATING TO OR CONNECTED WITH THE USE OF THE ESTATESALES.ORG SERVICE OR THIS TOS, BASED ON ANY CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR A BREACH OF A PARTY'S REPRESENTATIONS AND WARRANTIES UNDER THIS TOS OR IN CONNECTION WITH YOUR INDEMNITY OBLIGATIONS UNDER THIS TOS, IN NO EVENT WILL THE LIABILITY OF EITHER PARTY IN CONNECTION WITH THIS TOS EXCEED THE GREATER OF (i) THE AMOUNT PAID BY ESTATESALES.ORG TO YOU DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GIVES RISE TO SUCH LIABILITY OR (ii) $100.
11. Indemnification.
You must indemnify and hold EstateSales.org and its employees, representatives, agents, affiliates, directors, officers, managers and shareholders (the "Parties") harmless from any damage, loss, or expense (including without limitation, attorneys' fees and costs) incurred in connection with any third-party claim, demand or action ("Claim") brought against any of the Parties alleging that you have breached any provision of this TOS through any act or omission. If you have to indemnify EstateSales.org under this Section, EstateSales.org will have the right to control the defense, settlement, and resolution of any Claim at your sole expense. You may not settle or otherwise resolve any Claim without EstateSales.org's express written permission.
11. Termination.
11.1 Termination. In its sole discretion, with or without notice to you, EstateSales.org may: (i) suspend, limit your access to or terminate your use of the Website and/or the EstateSales.org Service, (ii) suspend, limit your access to or terminate your account, (iii) remove any of your Content from EstateSales.org's servers and directories and (iv) prohibit you from using the EstateSales.org Service and/or the Website.
11.2 Survival. Notwithstanding Section 11.1 above, this TOS will survive indefinitely unless and until EstateSales.org chooses to terminate this TOS.
11.3 Effect of Termination. If you or EstateSales.org terminates your use of the Website or the EstateSales.org Service, EstateSales.org may delete any Content or other materials relating to your use of the EstateSales.org Service on EstateSales.org's servers or otherwise in its possession and EstateSales.org will have no liability to you or any third party for doing so.
12. Notice
All notices required or permitted to be given under these TOS will be in writing and delivered to the other party by any of the following methods: (i) U.S. mail, (ii) overnight courier, or (iii) electronic mail. If you give notice to EstateSales.org, you must use the following addresses: 6001 W Parmer Lane Ste 370 #489 Austin, TX 78727, support@EstateSales.org. If EstateSales.org provides notice to you, EstateSales.org will use the contact information provided by you to EstateSales.org. All notices will be deemed received as follows: (i) if by delivery by U.S. mail, seven (7) business days after dispatch, (ii) if by overnight courier, on the date receipt is confirmed by such courier service, or (iii) if by electronic mail, 24 hours after the message was sent, if no "system error" or other notice of non-delivery is generated. If applicable law requires that a given communication be "in writing," you agree that email communication will satisfy this requirement.
13. Dispute Resolution.
All disputes arising out of, relating to, or connected with these TOS or your use of any part of the EstateSales.org Service will be exclusively resolved through direct negotiation between the parties, facilitated by their respective attorneys if necessary. If the dispute cannot be resolved through direct negotiation, it will be submitted to confidential binding arbitration held in Travis County, Texas, by a sole arbitrator applying Texas law (without regard to conflicts of law principles). The arbitration proceedings will be conducted in a manner agreed upon by both parties, ensuring a fair and impartial process. The arbitrator's award will be binding and may be entered as a judgment in any court of competent jurisdiction. Any action to enforce an arbitrator's award will be brought in a federal or state court located in Travis County, Texas. Each party hereby irrevocably submits to the personal jurisdiction of the federal and state courts in Travis County, Texas. Notwithstanding anything to the contrary in this Section 13, EstateSales.org may seek equitable relief, including, without limitation, injunctive relief and specific performance, without the requirement of posting a bond or other security or proving money damages are insufficient, from a court of competent jurisdiction.
14. Miscellaneous.
These TOS will be binding upon each party hereto and its successors and permitted assigns, and governed by and construed in accordance with the laws of the State of Texas without reference to conflict of law principles. This TOS is not assignable or transferable by you without the prior written consent of EstateSales.org. This TOS (including all of the policies and other Agreements described in this TOS, which are incorporated herein by this reference) contain the entire understanding of the parties regarding its subject matter, and supersedes all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. No failure or delay by a party in exercising any right, power or privilege under this TOS will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other such right, power, or privilege. You and EstateSales.org are independent contractors, and no agency, partnership, joint venture, or employee-employer relationship is intended or created by this TOS. The invalidity or unenforceability of any provision of this TOS will not affect the validity or enforceability of any other provision of this TOS, all of which will remain in full force and effect.
